By using listingwatchhq.com or subscribing to Listing Watch, you agree to these terms.

1. Service Description

Listing Watch provides Google Business Profile monitoring services. We audit your Google listing against your website, identify discrepancies, and — with your authorization — correct them. We monitor your listing on an ongoing basis for subscribers.

Important: Our instant audit provides *preliminary* results generated by automated systems. Every finding is hand-verified by our team before it is included in a final audit report or acted upon. Preliminary results shown on our website are for informational purposes only and should not be relied upon as definitive.

2. Subscription & Billing

- Plan: $99/month, billed monthly via Stripe. - Billing cycle: Subscriptions renew automatically each month until cancelled. - Cancellation: You may cancel at any time via the Stripe Customer Portal or by contacting us. Cancellation takes effect at the end of the current billing period. No prorated refunds for partial months. - Refunds: Refunds are issued at our sole discretion. The free audit carries no charge and no refund obligation. - Failed payments: If payment fails, we will attempt to notify you. Continued failure may result in suspension of monitoring services.

3. Google Business Profile Access

To correct your listing, you must grant us Manager access to your Google Business Profile. Until granted, we operate in alert-only mode (we notify you of issues but cannot fix them directly).

- Manager access does not transfer ownership. You remain the Owner. - You may revoke our access at any time. - We will only modify listing fields within the scope of our service (hours, contact info, core accuracy). We will not make unrelated changes.

4. Accuracy & Limitations

- We strive for accuracy, but we do not guarantee that our audits will identify every discrepancy or that our corrections will persist. Google may revert changes or display information differently across its platforms. - Our service monitors publicly available information. We are not responsible for changes made by Google, third parties, or unauthorized users to your listing. - Website content is treated as the source of truth for business hours. If your website is inaccurate, our corrections will reflect that inaccuracy. You are responsible for maintaining accurate information on your website.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

- Our total liability for any claim arising from or related to our services shall not exceed the amount you paid us in the 3 months preceding the claim. - We shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of revenue, loss of customers, or reputational harm, even if advised of the possibility of such damages. - We are not liable for actions taken by Google, including but not limited to listing suspensions, ranking changes, or display modifications.

6. Indemnification

You agree to indemnify and hold harmless Pass Capital Group LLC, its officers, and agents from any claims, damages, or expenses arising from: (a) your use of our services; (b) inaccurate information you provided; (c) your violation of these terms; or (d) disputes with Google regarding your Business Profile.

7. Acceptable Use

You agree not to: (a) abuse our audit API (rate limits apply); (b) misrepresent our findings; (c) use our services for any unlawful purpose; or (d) attempt to disrupt our infrastructure.

8. Changes to Terms

We may update these terms at any time. Continued use of our services after changes constitutes acceptance. Material changes will be communicated via email.

9. Governing Law

These terms are governed by the laws of the State of Georgia, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Georgia.
